(2) The board shall adopt a resolution authorizing the director of administrative services to file the articles of incorporation, and shall certify that the resolution has been submitted to the shareholders, whether by resolution, by a letter of transmittal, or otherwise. If a foreign corporation is organized in this state, the director of administrative services shall notify the Secretary of State that he intends to file a certificate of incorporation under Article 8.5 of this act (N.R.S.
